Accredited investors, as defined by the SEC, including high-net-worth individuals, angel investors, venture capital firms, and institutional investors.
  • Legal Requirements:
To qualify as an accredited investor, you must meet one or more of the following criteria:
    • Net Worth:
Must have a net worth exceeding $1 million, either individually or with a spouse (excluding the value of your primary residence).

Must have an annual income of at least $200,000 (or $300,000 with a spouse) in each of the last two years, with the expectation of earning the same or more in the current year.
    • Entity Requirements:
For institutions, the entity must have assets exceeding $5 million, or the investment must be directed by a qualified person with sufficient financial expertise.
  • Verification Requirements:
All accredited investors will be required to provide verification of their status. This can be done through:
    • Financial Documentation: Recent tax returns, W-2s, or financial statements.
    • Third-Party Verification: A letter from an accredited professional (such as a CPA, attorney, or investment advisor) confirming your accredited status.
  • Disclaimer:

All investments in Ryu Financial Technologies LLC are subject to U.S. securities laws. Only accredited investors and qualified institutional investors, as defined by the SEC, may participate in investment opportunities with Ryu. Verification of accredited investor status is required before any investment is accepted.

Investors in Ryu will receive membership interests in the LLC, which represent ownership percentage rather than traditional stock. As an LLC, Ryu does not issue stock like a corporation; instead, investors are entitled to a proportional share of profits, losses, and ownership, as outlined in the Operating Agreement.

Ryu does not solicit, offer, or sell securities to non-accredited investors. Investments in startups like Ryu carry inherent risks, including the potential loss of investment. Please review all risk factors before making any investment decision.

Investing in Ryu Financial Technologies LLC involves risks, including the potential loss of your entire investment. Before making any investment decision, please carefully consider the following risk factors:

  1. Early-Stage Company Risk:
Ryu is in its early stages of development, and there is no assurance that the company will achieve profitability. As with all startups, there is a high risk that the company may not succeed, resulting in a complete loss of investment.
  2. Lack of Liquidity:
Membership interests in Ryu are not publicly traded and may be difficult to sell or transfer. As an investor, you may not be able to liquidate your interest in the company for an extended period, if at all.
  3. Market Risk:
The financial technology (fintech) industry is highly competitive and rapidly evolving. Changes in market conditions, regulations, or technological advances may adversely affect Ryu’s business prospects.
  4. Dilution Risk:
Future fundraising rounds may result in the issuance of additional membership interests, which could dilute your ownership percentage in the company.
  5. Regulatory Risk:
Changes in government regulations, particularly in the fintech sector, could impact Ryu’s business model, operations, or ability to remain compliant with regulatory standards.
  6. Limited Operating History:
As a new company, Ryu has limited operating history upon which investors can base an evaluation of its performance. There is no guarantee that Ryu’s business strategies will result in success.
  7. Dependence on Key Personnel:
Ryu’s success is heavily dependent on its founder and key personnel. The loss of any key team members could negatively impact the company’s ability to execute its business plan.
  8. Technological and Security Risks:
Ryu operates in the fintech industry, which relies on advanced technology and data security. Any technological failures or breaches of security could significantly harm the company’s reputation and operations.
  9. Tax Implications:
As a member of an LLC, you will be responsible for paying taxes on your share of the company's profits, even if no distributions are made. It’s important to consult with a tax advisor to understand the tax implications of investing in an LLC.
